Salloq Software – White-Label Reseller & Agency Terms

These White-Label Reseller & Agency Terms (“Reseller Terms”) apply where you (“Reseller” or “Agency”) enter into an arrangement with Salloq Software (“Salloq,” “we,” “us”) to resell, bundle, or manage access to the Salloq ecommerce and point-of-sale platform (the “Service”) for your own clients (“End Clients”). These Reseller Terms supplement the Terms of Service.
1. Appointment & Relationship
- Salloq grants you a limited, non-exclusive, non-transferable right to promote, resell, or manage the Service for End Clients, subject to these Reseller Terms.
- You act as an independent contractor, not as an employee, partner, or agent of Salloq. You may not bind Salloq or make any commitments on its behalf.
2. Branding & White-Label
- Salloq may permit limited “white-label” usage, including applying your branding to certain interfaces or communications, as agreed in writing.
- You may not remove or obscure legal notices, attributions, or required Salloq branding where we specify that it must remain.
- Any use of Salloq’s trademarks or logos must comply with Salloq’s brand guidelines and be pre-approved where required.
3. End Client Contracts
- You are responsible for entering into your own agreements with End Clients and for collecting all fees owed by them.
- You must ensure that End Clients agree to terms that are at least as protective of Salloq as our Terms of Service and Acceptable Use Policy, including data protection obligations.
- End Clients’ use of the Service is ultimately subject to Salloq’s Terms, and we may enforce our Terms directly against End Clients where necessary.
4. Fees & Payment
- Reseller pricing, discounts, and payment terms may be set out in a separate reseller or agency agreement, order form, or price schedule.
- You remain responsible for all fees owed to Salloq for accounts you manage, regardless of whether your End Clients have paid you.
- Salloq may adjust pricing or discount structures with notice in accordance with the applicable agreement.
5. Support & Responsibilities
- Unless otherwise agreed, you are the primary point of contact and support provider to your End Clients regarding setup, configuration, and day-to-day usage of the Service.
- Salloq will provide support to you as the Reseller under its standard support policies or any enhanced support plan purchased.
- You must not misrepresent the capabilities or limitations of the Service to End Clients.
6. Data & Access
- You may gain administrative access to End Client accounts through the Reseller features of the Service. You must use such access solely to support and manage the End Client’s use of the Service.
- You must implement appropriate safeguards and internal controls to prevent unauthorized access, use, or disclosure of End Client data.
7. Term & Termination
- Either party may terminate the reseller relationship as described in the applicable agreement or by providing written notice as specified therein.
- Upon termination, your reseller privileges and any special pricing may cease, and End Clients may be offered direct accounts with Salloq.
- You agree to cooperate reasonably with Salloq in transitioning End Clients, including providing notices where appropriate.
8. Indemnification
In addition to any indemnification obligations under the Terms of Service, you agree to indemnify, defend, and hold harmless Salloq from and against any claims, damages, or losses arising out of or related to:
- Your marketing or representations about the Service;
- Your contracts or disputes with End Clients;
- Your misuse of reseller tools or administrative access.
9. Miscellaneous
These Reseller Terms may be updated from time to time. Material changes will be communicated to you via the Service or email. Your continued participation in the reseller/agency program constitutes acceptance of any updated terms.
